1. Acceptance of terms
By accessing or using the Services, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you and that organization.
2. The services
We provide AI strategy, advisory, automation, and training services to businesses, along with informational content delivered through our website. The scope, deliverables, and fees for paid engagements are governed by a separate signed agreement or statement of work (an “SOW”). In the event of a conflict between these Terms and an SOW, the SOW will control.
3. Account information and accuracy
When you submit information through contact forms, booking flows, or other Service features, you agree to provide accurate, complete, and current information, and to keep it updated. You are responsible for any activity conducted through any account credentials you control.
4. Acceptable use
You agree not to:
- Use the Services in violation of any applicable law, regulation, or third-party right;
- Probe, scan, or test the vulnerability of the Services, or breach or otherwise circumvent any security or authentication measures;
- Reverse engineer, decompile, or attempt to extract the source code of any software underlying the Services;
- Use any automated means (including bots, scrapers, or crawlers) to access the Services in a manner that exceeds reasonable use or violates our published instructions;
- Upload or transmit malicious code, or content that is unlawful, infringing, defamatory, harassing, or otherwise objectionable; or
- Resell, sublicense, or otherwise commercially exploit the Services without our prior written consent.
5. Intellectual property
The Services, including all content, software, designs, text, graphics, and logos, are owned by Back Office Automation or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal, non-commercial purposes.
Any feedback, suggestions, or ideas you submit about the Services may be used by us without restriction or obligation to you.
6. Customer materials
You retain ownership of any data, documents, or other materials you provide to us in connection with an engagement (“Customer Materials”). You grant us a worldwide, non-exclusive, royalty-free license to use Customer Materials solely as necessary to provide the Services and as further described in any applicable SOW.
7. Third-party services
The Services may link to or integrate with third-party products and services (for example, scheduling, analytics, payment, or AI-provider platforms). We are not responsible for those third-party services, and your use of them is governed by the third parties’ own terms and privacy policies.
8. Fees and payment
Fees for paid engagements are described in the applicable SOW or order form. Unless stated otherwise, invoices are due within thirty (30) days of receipt, and overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. You are responsible for any applicable taxes, other than taxes based on our net income.
9. Confidentiality
Each party agrees to protect the other’s non-public information disclosed in connection with the Services using at least the same degree of care it uses for its own confidential information (and no less than a reasonable degree of care), and to use such information only for purposes related to the Services.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE OR RELIABLE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BACK OFFICE AUTOMATION OR ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES ACTUALLY PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Back Office Automation and its officers, directors, employees, and agents from any third-party claim, demand, loss, or damages arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or rights of a third party.
13. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or for any other reason in our reasonable discretion. Upon termination, the sections of these Terms that by their nature should survive will survive, including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in that jurisdiction, and you consent to personal jurisdiction and venue there.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
